APPUPNEXT provides IT business solutions worldwide, including website development, e-commerce platforms, custom software, business automation, AI-based solutions, and digital products.
By purchasing, downloading, accessing, installing, or using any software or digital product from APPUPNEXT, you agree to this policy and any additional terms provided with the applicable product, package, subscription, or service agreement.
If you do not agree with these terms, you must not use the relevant software or digital product.
2. Scope of This Policy
This policy applies to software and digital products offered, developed, licensed, or distributed by APPUPNEXT, including:
-
Website themes and templates.
-
E-commerce websites and online store systems.
-
Custom websites and web applications.
-
PHP and Laravel-based applications.
-
Admin panels, dashboards, and business management systems.
-
SaaS platforms and automation tools.
-
AI-powered applications and integrations.
-
Plugins, scripts, APIs, and software components.
-
UI/UX assets, graphics, and other digital resources.
-
Software updates, upgrades, and related services.
Specific rights and restrictions may differ according to the product, package, subscription, purchase agreement, or custom development contract.
3. License Grant
Subject to successful payment and compliance with the applicable terms, APPUPNEXT grants the customer a limited, non-exclusive license to use the purchased software or digital product for the purposes permitted by the applicable license agreement.
Unless expressly agreed otherwise in writing, the license does not transfer ownership of the underlying software or its intellectual property to the customer.
The license may specify:
-
Permitted usage and installation locations.
-
The number of websites, domains, users, or installations allowed.
-
Personal, commercial, or business-use permissions.
-
Source code availability and access rights.
-
Customization and modification permissions.
-
Redistribution and resale restrictions.
-
License duration, subscription conditions, and renewal requirements.
-
Support, updates, and maintenance entitlements.
Customers must review the applicable product terms before using the software.
4. Permitted Use
Unless restricted by the applicable license, customers may use licensed software for lawful personal, business, or commercial purposes within the scope of their purchase.
Permitted activities may include:
-
Installing and operating the software on an authorized website or server.
-
Using the software to manage a business, website, or online store.
-
Configuring available settings and supported features.
-
Adding business information, products, images, and other authorized content.
-
Using the software for commercial activities permitted by the license.
-
Customizing the software where modification rights are included.
-
Using the software for client projects where the applicable license expressly permits such use.
Any use outside the authorized scope requires additional permission where applicable.
5. Prohibited Activities
Unless expressly authorized in writing or permitted by the applicable license, customers must not:
-
Resell, redistribute, sublicense, or distribute the software as a standalone product.
-
Share proprietary source code, downloadable files, or license keys with unauthorized parties.
-
Reproduce or publish proprietary software for unauthorized distribution.
-
Remove copyright notices or proprietary attribution where removal is not permitted.
-
Claim ownership of APPUPNEXT's pre-existing software, code, themes, templates, or digital assets.
-
Circumvent license validation, access controls, or technical restrictions.
-
Use the software for unlawful activities, fraud, malicious operations, or unauthorized access.
-
Reverse engineer, decompile, or disassemble software where prohibited by applicable law or license terms.
-
Copy or exploit third-party components in violation of their respective licenses.
-
Use the software in a manner that infringes the intellectual property or other rights of APPUPNEXT or third parties.
Nothing in this section prohibits activities that cannot lawfully be restricted under applicable law.
6. Intellectual Property Rights
Unless otherwise agreed in writing, APPUPNEXT and its licensors retain ownership of their pre-existing intellectual property, including proprietary software, reusable code, frameworks, themes, templates, design systems, documentation, and development tools.
Purchasing a license generally grants permission to use the software under specified conditions. It does not automatically transfer copyright, ownership, or unrestricted redistribution rights.
Customers retain rights to their own original content, branding, business information, and materials, subject to applicable third-party rights.
Ownership and usage rights for custom-developed deliverables will be governed by the relevant proposal, invoice, contract, or written agreement.
7. Source Code and Customization
Source code availability depends on the selected package and the written agreement between APPUPNEXT and the customer.
Certain packages may provide access only to a hosted website or application. Other packages may include server access, source code delivery, or specified customization rights.
Where source code is provided:
-
The customer may use it within the scope of the applicable license.
-
Modification rights depend on the purchase agreement.
-
Redistribution, resale, and sublicensing remain subject to the applicable terms.
-
Third-party libraries and components remain subject to their own licenses.
-
The delivery of source code does not automatically transfer ownership of all underlying intellectual property.
Customers must confirm source code, server access, and modification entitlements before purchasing a package if these are essential requirements.
8. Website Templates and Themes
Website templates and themes provided by APPUPNEXT may be subject to product-specific licensing conditions.
Unless the applicable license expressly permits otherwise, customers must not:
-
Resell or redistribute templates or themes as standalone products.
-
Publish the original downloadable files for public access.
-
Share licensed files with unauthorized users.
-
Repackage proprietary templates for commercial redistribution.
-
Represent APPUPNEXT's original template designs as their own intellectual property.
The rights to use a template in a completed website may differ from the rights to redistribute the template itself.
9. E-commerce and Business Software
Software provided for e-commerce, inventory management, customer management, reselling, affiliate systems, business automation, or similar purposes may be used only within the scope of the purchased license.
Customers are responsible for:
-
Configuring their business operations lawfully.
-
Maintaining accurate product, pricing, and business information.
-
Obtaining any required business permits or authorizations.
-
Complying with applicable consumer protection, privacy, tax, and e-commerce laws.
-
Ensuring that their use of payment gateways and external integrations complies with the relevant providers' terms.
APPUPNEXT does not guarantee that every software package will satisfy every jurisdiction's legal or operational requirements without additional configuration.
10. Third-Party Software and Open-Source Components
Software supplied by APPUPNEXT may include or integrate with third-party libraries, frameworks, APIs, plugins, fonts, images, or open-source components.
Such components may be governed by separate license terms, including open-source licenses and third-party service agreements.
Where applicable, customers must comply with those terms. The license for APPUPNEXT's proprietary components does not override the license governing a third-party component.
APPUPNEXT does not claim ownership of third-party intellectual property and cannot grant rights beyond those it is authorized to grant.
11. License Keys and Account Security
Where a product uses license keys, account authentication, domain verification, or other licensing controls, customers must keep their credentials and license information secure.
Customers must not:
-
Share license credentials with unauthorized parties.
-
Bypass license activation or verification requirements.
-
Attempt to obtain unauthorized access to another customer's account.
-
Misuse license activation systems or exploit technical vulnerabilities.
Customers should promptly notify APPUPNEXT if they suspect unauthorized access, credential compromise, or misuse of their license.
12. Software Updates and Upgrades
Software updates, bug fixes, security patches, feature upgrades, and new versions may be provided according to the relevant package or service agreement.
Unless expressly included in the purchase, the license does not automatically entitle the customer to lifetime updates, unlimited upgrades, ongoing maintenance, or new product versions.
Updates may require compatible hosting, server configurations, software dependencies, or third-party services.
Customers are responsible for maintaining backups before applying updates unless the applicable service agreement expressly assigns that responsibility to APPUPNEXT.
13. Technical Support and Maintenance
Technical support and maintenance are provided according to the applicable package, service agreement, or written commitment.
Support availability, response times, maintenance scope, and additional charges may vary.
Unless otherwise agreed, the license does not automatically include:
-
Unlimited customization.
-
New feature development.
-
Third-party software troubleshooting.
-
Hosting or server management.
-
Recovery from customer-caused data loss.
-
Repair of unauthorized modifications.
-
Resolution of issues caused by unsupported software or external service changes.
Additional services may be available under a separate agreement.
14. Hosting and Server Access
Hosting, domain registration, server access, and deployment services are separate from software licensing unless expressly included in the purchased package.
The customer is responsible for complying with the applicable hosting provider's policies and maintaining the security of any server or account under the customer's control.
Where APPUPNEXT manages hosting or deployment, the scope of access, administration, backups, and technical responsibility will be determined by the relevant package or agreement.
Customers must not assume that purchasing a software license automatically includes hosting, a domain, server access, or source code.
15. Payment and License Activation
License activation, source code delivery, downloads, deployment, or access to paid features may depend on payment completion and verification.
The applicable quotation, invoice, package description, or written agreement determines the payment schedule and deliverables.
Where an installment arrangement is approved, the customer's access and delivery rights will be governed by that arrangement.
Customers must not circumvent payment requirements or use restricted paid features without authorization.
16. Refunds and Cancellations
Refund eligibility is governed by the applicable refund policy, purchase agreement, and mandatory consumer protection laws.
Because software and digital products may be delivered electronically or made available for immediate use, certain purchases may be subject to specific cancellation or refund conditions where permitted by law.
Customers should review the applicable refund terms before purchasing.
Nothing in this policy excludes or limits any refund, cancellation, or other right that cannot lawfully be excluded under applicable law.
17. Customer Responsibilities
Customers are responsible for:
-
Using licensed software lawfully and within the permitted scope.
-
Protecting account credentials, license keys, and server access.
-
Maintaining appropriate backups of their data where applicable.
-
Ensuring that uploaded content and business activities comply with applicable law.
-
Obtaining rights to any third-party content, images, fonts, or data they use.
-
Maintaining compatible infrastructure and required third-party subscriptions.
-
Reviewing the software's requirements and limitations before deployment.
-
Informing APPUPNEXT of material licensing or security concerns when appropriate.
Customers remain responsible for their own business decisions and for data or content they introduce into the software.
18. Privacy and Data Protection
The collection and processing of personal information in connection with APPUPNEXT's services are governed by the applicable Privacy Policy and relevant data protection laws.
Customers who operate websites or applications using APPUPNEXT software are responsible for determining their own privacy, cookie, and data protection obligations, including providing appropriate notices and obtaining consent where required.
Where a separate data processing agreement is necessary, the parties should enter into that agreement before the relevant processing begins.
19. Software Warranty and Disclaimer
Unless otherwise stated in a written agreement or required by applicable law, software and digital products are provided according to the specifications and conditions stated in the relevant product description or agreement.
APPUPNEXT does not guarantee that every software product will operate without interruption, be compatible with every environment, or meet requirements that were not disclosed or agreed upon.
To the extent permitted by applicable law, implied warranties and conditions are excluded where legally permissible.
Nothing in this policy limits any mandatory warranty or consumer right that cannot lawfully be excluded.
20. Limitation of Liability
To the maximum extent permitted by applicable law, APPUPNEXT will not be liable for indirect, incidental, special, or consequential losses arising from the use or inability to use licensed software, including loss of profits, business interruption, or loss of data.
This limitation does not apply to liability that cannot lawfully be excluded or limited. Any additional limitation of liability will be subject to the relevant contract and applicable law.
Customers should maintain appropriate backups, security controls, and operational safeguards for their business systems.
21. License Suspension and Termination
APPUPNEXT may suspend or terminate a license where permitted by the applicable agreement or law, including when:
-
The customer materially breaches the license terms.
-
Payment obligations remain unpaid after any applicable notice or cure period.
-
The software is used for unlawful purposes.
-
The customer distributes proprietary software without authorization.
-
The customer attempts to bypass licensing or security controls.
Where appropriate and legally required, APPUPNEXT will provide notice and an opportunity to remedy the breach before termination.
Upon termination, the customer must stop using the affected software and comply with applicable instructions concerning licensed copies, access credentials, and proprietary materials.
Termination does not automatically cancel rights or obligations that have accrued before termination or provisions that are intended to survive it.
22. License Transfer and Resale
A license may not be transferred, resold, assigned, or sublicensed unless the applicable license expressly permits it or APPUPNEXT provides written authorization.
Any permitted transfer may be subject to verification, additional fees, or other conditions.
A customer may not transfer ownership of APPUPNEXT's intellectual property merely by transferring a website, business, domain, or server unless the relevant agreement permits that transfer.
23. Security and Unauthorized Modifications
Customers must not intentionally compromise the security, stability, or integrity of APPUPNEXT software or related systems.
Unauthorized modifications may affect compatibility, support eligibility, security, and warranty coverage, subject to applicable law and the relevant agreement.
If a customer modifies software, the customer is responsible for evaluating the effects of those changes unless the modification work is expressly covered by an APPUPNEXT service agreement.
24. Compliance with Applicable Laws
Customers must use the software in compliance with applicable laws and regulations, including intellectual property, privacy, cybersecurity, consumer protection, e-commerce, and export control requirements where relevant.
Customers must not use APPUPNEXT software to facilitate unlawful activity or violate the rights of other individuals or organizations.
APPUPNEXT may take reasonable action to address unlawful or unauthorized use, subject to applicable law and contractual obligations.
25. Changes to This Policy
APPUPNEXT may revise this Software License Policy to reflect changes in its products, licensing practices, technology, or legal requirements.
The updated policy will be published on the applicable website with its stated revision date.
Unless otherwise required by law or expressly stated, changes will apply prospectively. Existing purchases may remain governed by their original written agreements where those agreements so provide.
Customers should review this policy periodically for updates.
